Terms of Service

These Terms of Service ("Terms") govern access to and use of the Postvertise Platform operated under the RightBack.com LLC d/b/a Postvertise brand ("Postvertise," "we," "us," or "our").

By creating an account or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms describe features that exist in the current product. Marketing pages may describe future ideas; unimplemented features are not obligations.

You must be at least 18 years old (or older if required where you live) and able to form a binding contract.

If you use the Platform for an organization, you represent that you have authority to bind that organization.

You must choose an account type: Creator or Brand. You must provide accurate registration information (including email and profile identifiers required for your account type).

You may maintain one account unless we authorize otherwise. You are responsible for activity under your account.

Primary sign-in uses a passwordless email magic link. Keep access to your email secure. Where a password exists for an account, you must keep it confidential.

Notify us promptly using the contact details in Section 27 if you suspect unauthorized access.

We may suspend accounts to protect the Platform or other users.

Creators may create profiles, connect supported social accounts, view synced analytics for their connections, browse opportunities, participate in campaigns, and, where eligible, complete Stripe Connect Express onboarding to receive transfers of their Creator service amounts.

You must have the right to connect each social account and to display the information you publish on your profile.

Brands may create brand profiles, discover Creators, and create/manage campaigns, invitations, applications, participants, deliverables, and submission reviews.

Brands may authorize a payment method when booking a Creator, provide a billing address for tax calculation where applicable, and be charged through Stripe according to Section 18.

You represent that you are authorized to act for the business associated with the Brand account.

Postvertise provides tools for discovery, campaign coordination, and Stripe-processed marketplace payments between Creators and Brands.

Creators and Brands remain responsible for their own commercial arrangements, advertising disclosures, and other legal obligations applicable to their promotions. Postvertise does not guarantee campaign outcomes.

Brands may create campaigns with descriptions, budgets, schedules, platform targets, audience targeting metadata, and deliverable definitions.

Campaign statuses and management actions available in the product (such as activate, pause, resume, complete, cancel, or delete) are controlled by the Brand according to Platform rules and authorization checks.

Brands may invite Creators; Creators may apply to opportunities where enabled.

Invitation and application messages and status changes are visible to the relevant counterparties.

Accepting an invitation or application may create a participant relationship and deliverable tasks.

Participants may receive deliverable tasks and submit content references (such as URLs), captions, and notes for Brand review.

Brands may approve submissions or request revisions using Platform tools.

Submitting materials on Postvertise does not, by itself, publish those materials to Instagram, Facebook, TikTok, or X. Social publishing is not implemented.

"User Content" means content you submit or publish on the Platform, including profile text/images and campaign-related text/URLs.

You retain ownership of your User Content. You grant Postvertise a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display User Content as needed to operate the Platform.

You represent that you have rights to the User Content you submit and that it does not violate law or third-party rights.

The license in Section 11 is limited to operating, securing, and improving the Platform and fulfilling our agreements with you.

It does not give Postvertise ownership of your social-platform accounts or of content that remains solely on third-party platforms.

You agree not to:

• Use the Platform unlawfully or fraudulently
• Impersonate others or misrepresent affiliation
• Attempt unauthorized access, interfere with security, or abuse rate limits
• Scrape or harvest data except through documented Platform features you are permitted to use
• Harass other users
• Connect social accounts you do not own or control
• Upload malware or infringe intellectual property or privacy rights

Creators may connect Instagram, Facebook, TikTok, and X when those integrations are enabled for the environment.

By connecting, you authorize Postvertise to access and store the categories of information described in the provider consent screen, our Privacy Policy, and Social Data Disclosure.

You may disconnect integrations in the product; disconnection deletes stored credentials and synced data for that connection.

Social platforms are independent. Postvertise is not affiliated with, sponsored by, or endorsed by Meta, TikTok, X Corp., or related companies unless we expressly say so in writing.

Your use of those platforms remains governed by their terms. API changes may affect Postvertise features.

Social features depend on third-party APIs and the scopes currently configured in Postvertise. We only request scopes required for implemented functionality.

We do not guarantee uninterrupted API access.

Postvertise operates independently from social networks. Connection to a network does not create a partnership or joint venture with that network.

Payments on the Platform are processed through Stripe. Postvertise uses Stripe Customers, SetupIntents, PaymentIntents, Stripe Connect Express, Connect Transfers, and—when enabled in the operating environment—Stripe Tax Calculations.

Campaign budget fields are planning values for users. A budget amount does not, by itself, create a charge or move funds.

When a Brand books a Creator participation, the Brand may authorize and save a payment method through a Stripe SetupIntent. Authorizing a payment method does not by itself complete the charge.

When the applicable payment conditions are met in the product (including approval of the required deliverables for that participation), Postvertise creates an off-session Stripe PaymentIntent to charge the Brand. The Brand charge amount is the Creator service amount (subtotal), plus Postvertise’s additive platform fee, plus applicable taxes when Stripe Tax is enabled and tax applies to the transaction.

The Creator service amount and the Postvertise platform fee are separate amounts. The platform fee is charged to the Brand in addition to the Creator service amount. Platform fee rates are configured by Postvertise and disclosed in the product at the time of the relevant payment authorization or charge; they are not selected by users in the browser.

Where Stripe Tax is enabled, applicable taxes may be calculated at charge time using the Brand’s billing address and related transaction details. Tax treatment may depend on applicable law and transaction details. Tax is not always collected on every transaction. When tax is calculated and added, it forms part of the Brand charge and is not transferred to the Creator as part of the Creator service amount.

After a successful charge, Postvertise records a Creator earning based on the Creator service amount (not the platform fee and not tax). When the earning is payable and the Creator’s Stripe Connect Express account is ready, Postvertise creates a Stripe Connect Transfer of the Creator service amount to that Connect account balance. Moving funds from a Connect balance to a Creator’s linked bank account is handled by Stripe’s Connect payout processes, not by a Postvertise application-initiated bank payout feature.

Postvertise does not currently offer an escrow product. Postvertise does not currently provide an application-initiated bank payout or withdrawal feature. Subscription billing is not currently offered as a Platform product.

A general in-product refund or dispute workflow is not currently implemented. Any refund, chargeback, or dispute handling that occurs is subject to Stripe’s processes, applicable law, and any case-by-case operational handling Postvertise may provide. This section does not guarantee refunds or state that all payments are final.

The Platform's software, design, and Postvertise branding are owned by Postvertise or its licensors.

Except for limited rights needed to use the Platform, no IP license is granted to you.

You may stop using the Platform at any time. Authenticated users may delete their account from Dashboard → Settings. Offline deletion requests are described on Data Deletion.

We may suspend or terminate access for Terms violations, risk to users/platforms, or legal requirements.

Social-account disconnection deletes that connection's stored tokens and synced social data from Postvertise.

Authenticated users may delete their Postvertise account from Dashboard → Settings (DELETE /api/account for the signed-in owner). Deletion removes or anonymizes personal account data, disconnects social accounts, and ends authenticated access. Shared campaign relationship rows and certain payment, earning, or transfer records may remain in retained or anonymized form where required for referential integrity, accounting, fraud prevention, or legal purposes. Deleting a Postvertise account does not necessarily delete Stripe Customer or Connect records held by Stripe. Provider-side OAuth revocation is not currently implemented. See Data Deletion.

The Platform is provided "as is" and "as available" to the fullest extent permitted by law.

We do not guarantee uninterrupted service, accuracy of user-provided or third-party API data, or outcomes of Creator–Brand relationships.

To the fullest extent permitted by law, Postvertise will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill arising from use of the Platform.

To the fullest extent permitted by law, Postvertise's aggregate liability for claims relating to the Platform will not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the total amount of Platform fees you paid to Postvertise in the twelve (12) months immediately preceding the claim, except where such limitation is prohibited by law.

You will defend and indemnify Postvertise and its personnel against claims arising from your User Content, your misuse of the Platform, your social-account connections, or your violation of these Terms or third-party rights, to the extent permitted by law.

Governing law and exclusive venue are not specified in these Terms. The business address location does not by itself select a contractual governing law or venue. Until the operator or legal counsel provides governing law and venue terms, disputes remain subject to applicable law without a contractual venue selection here.

Before formal proceedings, contact us using Section 27 and attempt an informal resolution.

We may update these Terms by posting a revised version and updating the “Last updated” date.

If you do not agree to updated Terms, stop using the Platform.
